Strategic vs Operational: The Board in practice

December 5, 2023 | 8:30 am - 9:15 am

£50

A common challenge for experienced executives when taking on NED appointments for the first time is to understand how to best engage in their role appropriately.

This session will clarify the difference between being strategic versus operational – and more importantly in understanding where the line is and how to balance input so that you conduct yourself most effectively in your NED roles.

We encourage experienced NEDs to also attend this session to serve as an useful reminder and to hear from peers how they approach their engagement and find the right balance.

The session will begin with a short presentation by NEDonBoard member Mike Ashton. Mike is Chair of Governors at The Henley College and has been a non-executive director and strategic advisor in the commercial, education and charity sectors for 15 years following a successful business career culminating in 9 years on the board of Hilton Hotels as global CMO & CCO. Mike’s expertise in business growth strategy, brand & marketing planning and managing complex change is complemented by a robust understanding of board procedure, financial stewardship, governance, and risk management in regulated and non-regulated sectors.

Sharing practical NED perspectives and experiences from a range of sectors and size of organisation, and joining Mike on the panel, are:

  • Mandy Clarke – NEDonBoard member Mandy is a Chartered HR professional with over 20 years’ board-level experience in international organisations in a variety of sectors including professional services, defence, engineering and support services.  Mandy has a portfolio of non-executive positions: she is a Board Member at The Pensions Regulator and chairs the Remuneration & People Committee. She is the Vice Chair at LHC Procurement Group and a Member of the Audit & Risk Committee; and until recently was the Co-Chair at the Association of Independent Professionals and the Self Employed (‘IPSE’). Previous non-executive roles include: Abri (a large housing provider) where Mandy was the Chair of the People & Culture Committee and a member of the Audit & Risk Committee; Deputy Chair at Swindon & Wiltshire Local Enterprise Partnership; Deputy Chair/Senior Independent Director, People & Culture Committee Chair and Member of the Audit, Finance & Risk Committee at GreenSquareAccord (a housing and care provider); and Chair of Wiltshire Air Ambulance (a charity).
  • Mark Jarvis – NEDonBoard member Mark is an experienced NED with current roles on Audit, Risk and Finance committees with varied For Profit and Not For Profit entities, including Banks as an approved Bank of England SMF11 Chair of the Audit Committee. Mark has experience as interim Global CFO for Dentons and interim Global Financial Controller at Freshfields. He is a former Group CFO of a $5bn group within EYs Global business with broad finance and banking experience in Emerging Markets, Venture Capital (including Non-Executive Director roles), M&A and Asset based financing. Many years of experience in Elite 3E and SAP deployment requiring complex international cross-cultural stakeholder management in both front office and back office situations.
